Service

These Terms operate together with the following documents. Where a separate signed agreement or purchase-specific terms apply, those terms control only to the extent of a direct conflict.

NURIOX is developed and operated by QVEDO spletne storitve, d.o.o. (“QVEDO”, “NURIOX”, “we”, “us” or “our”), a company registered in Slovenia.

By creating an account, accessing or using NURIOX, selecting an acceptance control, or otherwise using the Services after these Terms are presented to you, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not create an account or use the Services.

If you use NURIOX in connection with your work, you accept these Terms personally. Your use does not bind your employer or create an organisational account unless QVEDO and the organisation enter into a separate written agreement.

“Services” means the NURIOX iOS application, account and authentication functions, real-time transcription, translation, AI Assistant, notes, teleprompter, smart-glasses connectivity, support features and related digital functionality made available by QVEDO.

These Terms do not govern the sale of physical smart glasses or accessories. Hardware purchases are governed by the Terms of Sale, Return and Refund Policy, Warranty Policy and any product-specific terms presented before or at purchase.

The licence to download and use the NURIOX iOS application through the Apple App Store is also subject to Apple’s applicable terms and the Apple Standard Licensed Application End User License Agreement (“Apple Standard EULA”). If a specific application licence term conflicts with these Terms, the applicable Apple licence term governs the software licence only.

You must be at least 18 years old and legally capable of entering into a binding contract to create a NURIOX account or use the Services.

By using NURIOX, you represent that the information you provide is accurate, that you are not prohibited from using the Services under applicable law, and that you will comply with all laws and third-party rights relevant to your use.

NURIOX is an accessible communication application that may provide real-time speech-to-text transcription, two-way translation, an optional AI Assistant, saved transcripts and notes, teleprompter functions and connectivity with compatible smart glasses.

Features, supported languages, response times, interface elements and available third-party providers may vary by country, device, operating-system version, internet connection and technical availability. Some features can be used on a compatible iPhone without smart glasses; other features require compatible smart glasses.

NURIOX is intended for international availability through the Apple App Store. Actual availability may be affected by Apple distribution settings, local law, export or sanctions restrictions, technical conditions, language support and the availability of third-party providers.

The fact that NURIOX can be downloaded or accessed in a location does not mean that every feature is lawful or suitable there. You are responsible for complying with the laws of the country or region in which you use the Services, including laws concerning microphones, transcription, translation, workplace privacy, communications and recording.

The NURIOX mobile application is currently provided free of charge. No subscription or other recurring payment is required under these Terms.

QVEDO may introduce optional paid features, premium services or additional products in the future. Before any payment is required, the applicable price, payment terms and cancellation conditions will be presented separately, and no charge will be made without the user’s affirmative action.

Free access does not guarantee that every feature will remain available indefinitely or without usage, technical or geographic limits.

To access NURIOX, you must provide a valid email address. We send a unique one-time authentication code to that address. You are responsible for maintaining control of your email account, iPhone, authentication codes and connected devices.

You may not register using an email address that you do not own or have permission to use, share authentication codes, allow another person to impersonate you, or knowingly permit unauthorised access to your account.

Notify us promptly at support@nuriox.com if you believe your account, email address or device has been compromised.

Each NURIOX account is an individual account intended for one person. Accounts may not be sold, transferred, sublicensed or shared between users.

NURIOX does not currently provide corporate accounts, employer dashboards, centralised employee administration or employer access to individual accounts.

The user controls their own saved transcripts, notes, translation history, AI requests and account settings, subject to the technical operation of the Services and the Privacy Policy.

An employer, company or other organisation may purchase compatible smart glasses or permit an individual to use NURIOX in connection with work. The user must still create and use a personal account with their own email address and personally accept these Terms.

Ownership or provision of smart glasses by an employer does not give the employer any right to access the user’s NURIOX account, saved transcripts, translations, notes, AI requests or usage history.

Users remain responsible for complying with workplace policies, confidentiality obligations and applicable law. Employers and organisations remain responsible for establishing lawful workplace rules and for providing any notices or obtaining any permissions required for the use of transcription or translation technology in the workplace.

Our processing of personal data is described in the NURIOX Privacy Policy. The Privacy Policy explains how account data, live audio, saved transcripts, notes, translation data, AI requests, analytics, crash diagnostics and support information are handled.

NURIOX does not use audio, transcripts, translations, notes, prompts or AI outputs to train, fine-tune, evaluate or benchmark NURIOX speech or AI models.

You should review the Privacy Policy before using speech, AI or save functions, particularly if your content may include confidential, sensitive or third-party information.

Subject to these Terms and the Apple Standard EULA, QVEDO grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use NURIOX on compatible Apple-branded devices that you own or control, solely for lawful personal or professional communication purposes.

No ownership rights in NURIOX are transferred to you. You may not copy, distribute, sell, rent, sublicense, reverse engineer, decompile, disassemble, modify, create derivative works from or attempt to extract source code from NURIOX, except to the limited extent that such a restriction is prohibited by applicable law.

You must comply with applicable Apple usage rules and third-party terms, including network, device and connectivity terms, when using NURIOX.

“User Content” includes speech submitted for processing, transcripts, translations, saved notes, teleprompter text, AI prompts, files or context you choose to provide, feedback and outputs generated for you through the Services.

As between you and QVEDO, you retain your rights in User Content. You grant QVEDO a limited, worldwide, non-exclusive licence to host, transmit, process, reproduce and display User Content only as reasonably necessary to provide, secure, maintain and support the Services, comply with law and enforce these Terms.

You represent that you have the rights and permissions necessary to submit User Content and that its processing will not violate law, confidentiality obligations or third-party rights.

When you enable transcription or a speech-based translation feature, microphone audio is transmitted to our server environment and may be processed by a speech-technology provider acting for QVEDO. The audio is processed in real time solely to create text and is not retained after the requested processing is completed.

NURIOX does not create an audio recording for later playback. However, laws may still regulate the real-time capture, transmission, transcription or translation of another person’s speech.

Before using NURIOX with another person’s speech, you must provide all legally required notices and obtain all legally required permissions or consents. You may not use NURIOX for covert monitoring, unlawful surveillance, wiretapping, eavesdropping or any prohibited recording or interception activity.

Live transcripts are not saved automatically. A transcript is stored only when you deliberately use the save function. Saved transcripts and notes are associated with your account and stored on NURIOX systems until you delete them, delete your account or they are otherwise removed in accordance with the Privacy Policy.

Translation history made available by the application is stored on your iPhone and can be deleted using the app or device controls. Local data may be lost if you uninstall the app, reset the device, lose access to the device or remove local storage.

You are responsible for deciding what content to save and for applying appropriate confidentiality and security measures to your device and account.

The AI Assistant is optional. The application may allow you to select from a list of available third-party AI providers. The available list may change over time.

When you choose a provider and submit a prompt, the prompt and any context you deliberately include are transmitted to that provider to generate a response. Provider-specific terms and privacy notices may apply and may be displayed or linked in the application.

Do not submit personal, confidential, proprietary or regulated information unless you are authorised to disclose it and have determined that the selected provider is appropriate for that information.

QVEDO may replace, suspend or discontinue a provider to maintain quality, security, availability, legal compliance or operational efficiency.

NURIOX uses automated speech, translation and AI technologies. Outputs may contain errors, omissions, hallucinations, formatting mistakes, timing errors, speaker-attribution errors, language-identification errors or mistranslations.

You are responsible for reviewing and validating outputs before relying on, sharing or acting upon them. Context, accent, background noise, connectivity, vocabulary, device position and third-party provider performance can affect results.

No output should be treated as a guaranteed, certified or verbatim record unless independently reviewed and verified by a qualified person using an appropriate process.

Certain NURIOX features may display text, translations, notes or prompts through compatible smart glasses. Compatibility depends on the hardware model, firmware, Bluetooth, iOS version, permissions, network connection and configuration.

QVEDO does not guarantee compatibility with every device, third-party accessory, operating-system version or future hardware revision. Updates to Apple software, hardware firmware or third-party services may temporarily affect functionality.

Use smart glasses safely and in accordance with product instructions. Do not use them where doing so would distract you, obstruct vision, violate rules or create a risk to you or others.

QVEDO may sell compatible smart glasses and accessories. Each purchase is a separate transaction governed by the Terms of Sale, Return and Refund Policy, Warranty Policy, product description and order confirmation presented to the purchaser.

Where an employer or organisation purchases and provides smart glasses to an employee, the purchaser remains the owner of the hardware unless otherwise agreed. The user’s NURIOX account remains personal and is not transferred to the hardware owner.

The purchase of hardware does not guarantee uninterrupted availability of every language, AI provider, cloud feature or third-party service. Nothing in these Terms limits mandatory statutory rights relating to physical products.

You may use NURIOX only for lawful purposes and in accordance with these Terms. You must not use or attempt to use the Services to:

• violate applicable law, regulations, court orders or third-party rights;
• process another person’s speech or personal information without required rights, notices, permissions or consents;
• conduct unlawful surveillance, covert monitoring, wiretapping, eavesdropping or unauthorised recording;
• harass, threaten, discriminate against, defame, exploit, impersonate or harm another person;
• commit fraud, phishing, identity theft, social engineering, deception or other abusive activity;
• submit malware, malicious code, harmful data or content designed to disrupt the Services;
• bypass authentication, permissions, access controls, technical limits or security measures;
• probe, scan, test or attack NURIOX systems without prior written authorisation;
• scrape, harvest or collect information from the Services in an unauthorised manner;
• reverse engineer, extract, copy, imitate or reproduce NURIOX software, models, interfaces, systems or underlying technology;
• use NURIOX outputs to develop, train or validate a competing speech, translation or AI system without QVEDO’s written permission; or
• use the Services in a manner that creates unreasonable load, security risk, operational harm or interference with another user.

NURIOX is not an emergency service and must not be relied upon to contact emergency responders, interpret emergency instructions or provide safety-critical communication without an appropriate backup method.

NURIOX does not provide medical, legal, financial, employment, insurance, credit, housing or other regulated or professional advice. Outputs must not be used as the sole basis for decisions that materially affect a person’s rights, health, safety, employment or access to essential services.

Where NURIOX is used in healthcare, government, employment, education, legal or other regulated contexts, the responsible person or organisation must implement appropriate human review, accessibility arrangements, security controls, notices and legal safeguards.

QVEDO and its licensors retain all rights, title and interest in NURIOX, including the software, source and object code, interfaces, designs, graphics, documentation, algorithms, models, systems, databases, trademarks, logos and underlying technology.

NURIOX, the NURIOX name and related branding may not be used without QVEDO’s prior written permission. Third-party names, trademarks and technologies remain the property of their respective owners.

No rights are granted except those expressly stated in these Terms, the Apple Standard EULA or applicable open-source licences.

If you provide suggestions, ideas, bug reports, feature requests or other feedback, you grant QVEDO a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify and incorporate that feedback for any lawful purpose without restriction or compensation.

Feedback does not include User Content submitted for transcription, translation, notes or AI assistance.

NURIOX may be updated, modified, limited, suspended or discontinued in whole or in part. We may change supported languages, providers, features, interfaces, technical requirements and compatibility to improve quality, security, accessibility, performance or compliance.

We do not guarantee uninterrupted availability, specific response times, error-free operation, permanent availability of a provider or feature, or compatibility with every device.

Features identified as beta, preview, experimental or early access may be incomplete, less reliable and changed or withdrawn without notice. Do not use such features for critical purposes.

NURIOX may interoperate with third-party speech, AI, cloud, email, analytics, crash-reporting, Apple, hardware and internet services. Third-party services are controlled by their providers and may be governed by separate terms and privacy policies.

QVEDO is not responsible for third-party content, independent third-party services, provider outages, network failures or changes made by third parties, except to the extent responsibility cannot be excluded under applicable law.

You are responsible for complying with applicable third-party terms when using NURIOX.

We may suspend, restrict or terminate access where we reasonably believe that an account is compromised, used unlawfully, violates these Terms, creates a security or operational risk, harms another person or exposes QVEDO or third parties to liability.

Where reasonably practicable and legally appropriate, we will provide notice and an opportunity to resolve the issue. Immediate action may be taken where necessary to protect users, systems, evidence, security or legal rights.

Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination, including intellectual property, responsibility for misuse, disclaimers, liability limitations, governing law and miscellaneous terms, remain effective.

You may delete your NURIOX account using the account-deletion function in the application or by emailing support@nuriox.com from the address associated with the account.

Account deletion removes the account and associated user-saved content from active systems, subject to limited backup cycles, security needs, legal obligations and the Privacy Policy. Translation history stored only on your device must be deleted using app or device controls.

Deleting the NURIOX account does not cancel, transfer or return separately purchased hardware. Hardware returns and warranty claims are governed by the applicable purchase terms.

To the maximum extent permitted by law, NURIOX and the digital Services are provided “as is” and “as available”. QVEDO does not warrant that the Services will be uninterrupted, error-free, secure, accurate, complete, suitable for every use case or compatible with every device.

QVEDO does not warrant that transcripts, translations, AI outputs, notes displayed through smart glasses or other outputs will be accurate, complete, unique, non-infringing or fit for a particular purpose.

These disclaimers do not apply to express hardware warranties or mandatory consumer guarantees that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, QVEDO will not be liable for indirect, incidental, special, exemplary, punitive or consequential losses, or for loss of profits, revenue, business, opportunity, goodwill or data, arising from or related to the Services.

To the maximum extent permitted by law, QVEDO’s total aggregate liability arising from or relating to the free digital Services will not exceed the greater of EUR 100 or the amount you paid directly to QVEDO for the affected digital Service during the twelve months before the event giving rise to the claim.

The exclusions and cap do not apply where prohibited by law, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer rights. Liability relating to purchased hardware is governed by the applicable sales and warranty terms and mandatory law.

Nothing in these Terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, restricted or modified under the consumer law applicable to you.

If you are a consumer in the European Union, European Economic Area or another jurisdiction with mandatory consumer protections, those protections continue to apply, including applicable rights concerning digital services and physical products.

Any disclaimer, limitation, governing-law clause or dispute provision in these Terms applies only to the extent permitted by mandatory law.

These Terms are governed by the laws of the Republic of Slovenia, without regard to conflict-of-law rules, except that consumers retain the protection of mandatory laws of their country of habitual residence.

Before starting formal proceedings, please contact support@nuriox.com and provide a reasonable description of the dispute so that the parties can attempt to resolve it.

For users acting in the course of business, the courts of Ljubljana, Slovenia have exclusive jurisdiction. Consumers may bring proceedings in any court available to them under mandatory applicable law.

We may update these Terms to reflect changes in the Services, providers, law, security, business operations or user protections. The current version will be made available on the NURIOX website and may also be presented in the application.

For material changes, we will provide reasonable notice through the application, website, email or another appropriate method. Where law requires renewed consent, we will request it before the updated Terms apply.

If you do not agree to updated Terms, you must stop using NURIOX and may delete your account.

These Terms, together with the Privacy Policy, Apple Standard EULA and any applicable purchase-specific terms, form the agreement governing your use of NURIOX.

You may not assign or transfer your rights under these Terms without QVEDO’s prior written consent. QVEDO may assign these Terms in connection with a merger, financing, reorganisation, sale of assets or transfer of the NURIOX business, subject to applicable law.

QVEDO is not liable for delay or failure caused by events beyond its reasonable control, including internet or cloud failures, power outages, labour disputes, government action, war, terrorism, natural disasters or failures of third-party infrastructure.

If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. Failure to enforce a provision is not a waiver.

Headings are for convenience only. If these Terms are translated, the English version controls to the extent permitted by mandatory law.
